Terms of Service

NuStack Website Engine is a managed website hosting and monitoring platform designed for agencies and local businesses. NuStack builds, hosts, and monitors client websites on your behalf. The platform provides the following core capabilities:

• Managed Website Hosting — Your website is built and hosted on Vercel's edge network, delivering fast load times and 99.9% uptime.
• Nightly Health Monitoring — Automated nightly scans audit each site for uptime, performance scores, SEO issues, and broken links. Results are compiled into a composite health score.
• Uptime Checks — Each site is checked every 5 minutes. Two consecutive failures trigger an alert to the operator.
• Client Portal — A read-only health dashboard accessible to your clients via secure magic link. Clients can view uptime, performance, and SEO scores, and submit change requests.
• Change Request Management — Clients submit change requests through the portal. Operators review and resolve requests from the dashboard.

The Service is provided "as is" and we continuously improve features, which may result in changes to functionality. We will notify you of any material changes that affect how you use the platform.

To use NuStack Website Engine as an operator, you must create an account. Accounts are managed through our authentication provider (Clerk) and are organized as follows:

• Organization-based access. Your account is tied to an organization. You may invite team members to your organization, and all members share access to the same operator dashboard and client data.
• Accurate information. You must provide accurate and complete information when creating your account. You are responsible for keeping this information up to date.
• Account security. You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.
• Age requirement. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.

NuStack Website Engine offers three subscription plans, billed monthly per managed site:

• Starter — $99/month. Managed hosting, uptime monitoring, monthly health report, and client read-only portal.
• Growth — $149/month. Everything in Starter plus nightly SEO scans, Google PageSpeed tracking, and 2 change requests per month.
• Pro — $199/month. Everything in Growth plus unlimited change requests, AI-assisted content generation, and priority support.

Additional billing terms:

• Payment processing. All payments are processed securely through Stripe. By subscribing, you agree to Stripe's Terms of Service.
• Auto-renewal. Your subscription automatically renews each month on the anniversary of your start date.
• Cancellation. You may cancel your subscription at any time from the Settings page in your dashboard. Cancellation takes effect at the end of your current billing period.
• Refunds. We do not offer prorated refunds for partial billing periods. In cases of billing errors or service outages exceeding 48 consecutive hours, we will issue a prorated credit at our discretion.
• Price changes. We reserve the right to change subscription pricing with at least 30 days' notice before any increase takes effect on your account.

As part of the Service, NuStack builds and hosts websites on Vercel's edge network and conducts automated monitoring. By using the Service, you agree to the following:

• Site content. You are responsible for ensuring that the content on your managed websites complies with all applicable laws and does not infringe on third-party rights.
• Subdomain provisioning. New sites are provisioned on *.nustack.digital subdomains by default. Custom domain setup is available on the Pro plan.
• Monitoring data. Health scan results, uptime logs, and performance scores are stored and accessible through your dashboard and client portals.
• No guarantee of uptime. While we target 99.9% uptime, we do not guarantee uninterrupted availability. Downtime caused by third-party infrastructure (Vercel, Supabase, etc.) is outside our control.
• Change requests. Change requests are handled within 48 hours on Growth and Pro plans. Volume and complexity may affect turnaround time.

Your privacy and the privacy of your clients matters to us. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

• Data storage. Your site data, health scan results, change requests, and alert logs are stored securely in our database infrastructure powered by Supabase (PostgreSQL). Data is encrypted in transit and at rest.
• Data isolation. All data is isolated by organization. Row-level security policies ensure your data is accessible only to authenticated members of your organization.
• Client portal data. Client portal access uses short-lived JWT tokens delivered via email. Clients access health data only for sites associated with your organization.
• Third-party services. The Service integrates with Firecrawl (site crawling), Google PageSpeed Insights (performance scoring), Stripe (payments), Clerk (authentication), Resend (email), and Vercel (infrastructure). Data shared with these providers is limited to what is necessary for their function.

You agree to use NuStack Website Engine only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to host websites containing illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
• Attempt to gain unauthorized access to the Service, its servers, or connected networks.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Use the Service in a manner that could overload or impair our infrastructure.
• Misrepresent your identity or your business to us or to your clients.
• Share your account credentials with individuals outside your organization, or resell access to the Service without prior written consent.

We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these acceptable use terms.

• We own the platform. All rights, title, and interest in the NuStack Website Engine platform, including its software, design, branding, documentation, and underlying technology, are owned by NuStack Digital Ventures LLC or our licensors.
• You own your business data. You retain full ownership of all content you upload or provide through the Service, including business information, website content, and client records.
• Limited license to us. By using the Service, you grant us a limited, non-exclusive license to use, process, store, and transmit your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.
• Feedback. If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without obligation to compensate you.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
• No guarantee of monitoring accuracy. Health scores, SEO audit results, and performance scores are generated automatically and may not reflect all issues. We are not liable for any damages resulting from reliance on these scores.
• Liability cap. Our total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim.
• Exclusion of consequential damages. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
• Your liability. You are responsible for your use of the Service and agree to indemnify and hold us harmless from any claims arising from your violation of these Terms or your misuse of the Service.

• Termination by you. You may cancel your subscription and close your account at any time from the Settings page in your dashboard, or by contacting us at support@nustack.digital.
• Termination by us. We may suspend or terminate your account if you violate these Terms, fail to pay, or for any reason with 30 days' written notice.
• Data export after termination. Upon termination, your data will remain available for export for 30 days. After 30 days, we will permanently delete your data from our systems, except where retention is required by law.
• Survival. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.

We may update these Terms from time to time. When we make changes:

• We will update the "Last updated" date at the top of this page.
• For material changes, we will notify you by email at least 15 days before the changes take effect.
• Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.
